My Sophi™ Terms of Service (the Agreement)

Defined Terms as Used in this Agreement

  • User – The actual user of the My Sophi™ Services, whose health vitals will be taken by the My Sophi™ equipment.
  • Subscriber – The individual paying for the My Sophi™ Services. The Subscriber may be the same individual as the User or the Subscriber may pay for the My Sophi™ Services for another individual who will serve as the User.
  • Initiation Call – The phone call between the Subscriber and the My Sophi™ Services staff to collect the necessary Subscriber information.
  • Setup Call – The phone call between the User and the My Sophi™ Services staff to collect User information and ensure the equipment is set up properly.
  • My Sophi™ Services – The Telehealth Monitoring Services provided by My Sophi™.
  • My Sophi™ Products – The equipment provided by My Sophi™ to the User to enable the delivery of the My Sophi™ Services. This will likely include a two-way communication hub along with the selected peripheral devices.
  • Authorized Representative – This is the individual designated by the User as the User’s emergency contact. The Authorized Representative will have access to the User’s Personal Health Information collected by My Sophi™ and will have access to the My Sophi™ Telephone Application. More than one Authorized Representative may be named by the User.

Service Initiation and Billing

  • The Subscriber, being at least 18 years of age, understands and agrees that they have signed up for My Sophi™ Telehealth Monitoring Services (hereafter referred to “My Sophi™ Services”). Upon signing up for My Sophi™ Services, they will be charged the initiation fee corresponding to the service plan of their choosing. Once My Sophi™ Service has been ordered, Subscriber will be billed for the first 30 days of service, starting upon initiation of My Sophi™ services, and then on a recurring basis every 30 days. Subscriber will continue to be billed every 30 days until the My Sophi™ Services are terminated in accordance with the provisions of this contract.
  • The Subscriber may choose from the following three My Sophi™ Service Plans:

The Classic $79 Monthly Fee + $109 one-time initiation cost
The Concierge $99 Monthly Fee + $119 one-time initiation cost
Sophi's Best  $129 Monthly Fee + $139 one-time initiation cost
Fall Detection  $75 Monthly Fee + $80 one-time initiation cost
Fall Detection PLUS  $85 Monthly Fee + $90 one-time initiation cost

  • Subscriber shall be responsible for payments to My Sophi™ for the duration of the Agreement, unless terminated sooner, as set forth under this Agreement. If there is any outstanding balance at the conclusion of the My Sophi™ Services, to include but not limited to unreturned My Sophi™ Products or equipment, Subscriber’s credit card will be billed for the outstanding amount.
  • If the Subscriber is ordering the My Sophi™ Services on behalf of a third party who will be the User, Subscriber will be responsible for providing the name and a valid phone number of the User at the time of the Initiation Call.
  • If the Subscriber is ordering My Sophi™ Services on behalf of a third party, and the User declines the My Sophi™ Services, the Subscriber acknowledges that they will still be liable for any costs and fees incurred.
  • Upon the completion of the order, My Sophi™ will ship the Product(s) via standard ground shipping with a carrier selected by My Sophi™. My Sophi™ will not be liable for any failure of, or delay in, the delivery of any My Sophi™ Product or equipment.
  • The My Sophi™ Services and Products are intended to be used by a single User throughout its entire deployment. The My Sophi™ Services Subscriber/User shall not knowingly allow any third party to use this equipment because doing so could adversely affect the accuracy of the collected health data.

Cancellation and Return Policy

  • If the Subscriber elects to discontinue the My Sophi™ Telehealth Monitoring program, subscriber will immediately notify My Sophi™ Customer Service at 1-800-MYSOPHI so arrangements can be made to return the equipment. Subscriber understands that the equipment provided is the property of My Sophi™ and agrees to return it upon discharge from the My Sophi™ Services.
  • If the Subscriber elects to cancel the My Sophi™ Services, the Subscriber will not receive any refund of the initiation fee or any refund of any completed or partially completed 30-day billing cycle. In the event that the My Sophi™ Services are cancelled in the middle of the service period, My Sophi™ shall cease providing services on the last day of the 30-day service period, unless Subscriber indicates that My Sophi™ Services shall cease immediately. No refunds will be given in the event that My Sophi™ Services cease early at the Subscriber's or User's request.
  • Subscriber will return all My Sophi™ Products within 30 days following the termination or expiration of this Agreement. If Subscriber fails to return any of the equipment or it is lost or broken due to negligence, Subscriber’s credit card on file will be charged the replacement value of the equipment.
  • Subscriber will be provided a prepaid shipping label to return the equipment. Subscriber will keep the original shipping box and use it for mailing the equipment. If the Subscriber will not be using the equipment, they shall instruct the User to save the original shipping box. My Sophi™ is not responsible for providing additional shipping materials or any associated costs if the original box is not used.
  • If the Subscriber has signed up for My Sophi™ on behalf of a third party, Subscriber will remain liable for the return of any equipment and the payment of any remaining balances and/or subscription fees. Subscriber’s credit card will be charged the replacement value of any lost, damaged, or unreturned equipment, regardless of whether they are the actual My Sophi™ Services User.

Privacy Terms

  • In many instances, the Subscriber and the User may be different individuals, such as when the Subscriber is ordering My Sophi™ for their Parent(s). When that situation applies, My Sophi™ will obtain the required authorizations from the User via a recorded phone call.
  • The Subscriber/User understands that My Sophi™ involves the secure collection and transmission of Private Health Information (PHI) and Personally Identifiable Information (PII). By using the My Sophi™ Services, Subscriber/User authorizes the use and transmission of their PHI and PII by My Sophi™.
  • Subscriber/User understands the My Sophi™ Services are not a substitute for keeping their medical providers informed of any medical conditions that may arise. Subscriber/User understands that My Sophi™ is not an emergency medical service and that Subscriber/User should call 911 in an emergency. My Sophi™ is not responsible for any medical costs or fees incurred by Subscriber/User.
  • Subscriber/User authorizes the My Sophi™ Care Team to discuss the Subscriber/User’s Private Health Information and/or Personally Identifiable Information with the Subscriber/User’s primary care physician and/or Authorized Representative(s). Solely in its own discretion, My Sophi™ may release any PHI or PII it deems necessary to ensure the wellbeing of the User/Subscriber. At the time of the My Sophi™ Services Setup phone call, the Subscriber/User will be asked to provide the name and phone number for their primary care physician and their Authorized Representative(s).
  • The My Sophi™ Services include a free phone application that may be used to track the User’s health data, vitals and other PHI. The Subscriber/User authorizes My Sophi™ to grant access to the My Sophi™ phone application to the Authorized Representative(s).
  • Subscriber understands that they will still be liable for any costs and fees incurred if the User declines any Terms of Service that result in My Sophi™ being unable to continue providing the My Sophi™ Services for the User.

  • An additional Notice of Privacy Practices can be found at: www.mysophi.com/privacy. A hard copy of this information will be provided in the box containing the My Sophi™ equipment. Subscriber/User agrees to the terms contained in this Notice of Privacy Practices.

My Sophi™ Products

  • For proper operation, the My Sophi™ Products require adequate cellular coverage. Poor cellular coverage may result in the inability to place or receive a call.
  • In an emergency, User should provide the response team with as much information as possible about User’s location.
  • The My Sophi™ Products are not a replacement for User’s regular contact with caregivers or access to an alternative means of placing an emergency call.
  • While the fall detection system performs well, if available and enabled, no such system is 100% reliable. If User experiences a fall that causes actual or potential injury, do not wait for the automatic call. User should always press the call button manually if able. My Sophi™ offers multiple options for fall detection with differing capabilities. User is responsible for testing and understanding the performance limitations of the fall detection system they have subscribed to.
  • The My Sophi™ Products require adequate battery charge for proper operation. Low battery may result in the inability to place a call, automatically detect a fall, and/or properly locate User automatically during an emergency.
  • My Sophi™ Products utilize one or a combination of Bluetooth Technology, Global Positioning System (GPS), WIFI Location (WIFI) and network Location Based Services (LBS) in order to find User’s current location. By activating a My Sophi™ Product, User agrees to allow My Sophi™ and its affiliates to use this information to provide services to them in the case of an emergency response.
  • The My Sophi™ Products may use GPS and other technology to identify User’s location. By activating a My Sophi™ Product, User agrees to allow such My Sophi™ Products to provide the response center with User’s location if that capability exists. In good conditions, this technology should provide a location that is accurate within 30 feet or less. However, performance of GPS can be affected by a wide range of factors, including obstructions, metal objects in the vicinity, structures that block the signal from satellites, weather, and other factors outside of My Sophi™’s control.
  • In-Home Personal Response Solutions (PERS) Users acknowledge that the PERS product must be within line-of-sight range of the My Sophi™ two-way communication hub. This range may vary due to external factors that are beyond the control of My Sophi™. My Sophi™ makes no guarantees or warranties as to the effective range of the PERS product due these external factors and shall not be held liable for any PERS product failure due to exceeding the functional range or otherwise.
  • By activating any My Sophi™ Product, User Authorizes the use of his or her Personally Identifiable Information and Private Health Information as described in the Notice of Privacy Practices, located online at www.mysophi.com/privacy.
  • The My Sophi™ Product lanyards are designed to break apart under certain conditions; however, any cord worn around the neck can pose a risk of strangulation, including the possibility of serious injury or death.
  • My Sophi™ Services and Products do not provide medical advice. User should always consult his or her physician or other healthcare professional with any questions regarding any medical or mental health condition, or for specific guidance regarding nutrition or physical activity.
  • The Subscriber/User understands that My Sophi™ Services and Products are used to help the User protect his or her person. It does not assure or guarantee such protection. User is encouraged to and agrees whenever practical to use all other safety and medical devices and techniques available to the User for such protection. Available devices and techniques are too numerous to list but include (a) basic health precautions; and (b) adherence to physicians’ directions and recommendations.
  • In the event that My Sophi™ determines there is an emergency at the User’s premises, My Sophi™ will follow its emergency protocols, which may result in the forced entry by emergency services. Unless notified otherwise in writing, User authorizes My Sophi™ in its sole discretion to authorize forcible entry to gain access to User’s premises in the event that My Sophi™ staff cannot reach the User for further instructions. User does hereby release the My Sophi™ from any and all liability whatsoever as a result of said forcible entry.
  • Subscriber/User acknowledges and agrees that unless notified in writing to the contrary, it is Subscriber/User’s specific intent that all Medical Alert Signals shall be deemed by the parties to be General Emergency Signals (hereinafter “General Emergency Signals”) and not signals denoting any special medical emergency requiring My Sophi™ to contact or dispatch any medical, hospital, ambulance, or other like entity, person or service (hereinafter “Medical Assistance”). Subscriber/User agrees to notify My Sophi™ in writing of the appropriate local authority to call in the event of a General Emergency Signal. In the absence of any written instruction, Subscriber/User agrees that My Sophi™ may in its sole judgment determine the appropriate number to call. Subscriber/User agrees that it is Subscriber/User’s sole responsibility to advise subscribers to prepare for any medical emergency. Nothing in this paragraph to the contrary withstanding, if Subscriber/User and/or Subscriber have made a private arrangement for response to a General Emergency Signal, as long as there is no law, statute, or public policy precluding such an arrangement in the local jurisdiction, Company will follow Subscriber/User’s or Subscriber’s written instructions with regard to such response arrangement. In no event will My Sophi™ be responsible for the cost of any such response plan.

Regulatory Compliance: FCC/IC

  • User changes or modifications not expressly approved by the party responsible for compliance could void the user's authority to operate the equipment.
  • This device complies with Part 15 of the United States FCC regulations and has an Industry Canada registration (IC ID). Operation is subject to the following two conditions: (1) This device may not cause harmful interference, and (2) this device must accept any interference received, including interference that may cause undesired operation.
  • NOTE: This equipment has been tested and found to comply with the limits for a Class B digital device, pursuant to the FCC and IC rules. These limits are designed to provide reasonable protection against harmful interference in a residential installation. This equipment generates, uses and can radiate radio frequency energy and, if not installed and used in accordance with the instructions, may cause harmful interference to radio communications. However, there is no guarantee that interference will not occur in a particular installation. If this equipment does cause harmful interference to radio or television reception, which can be determined by turning the equipment off and on, the user is encouraged to try to correct the interference by one or more of the following measures:
    • Reorient or relocate the receiving antenna.
    • Increase the separation between the equipment and receiver.
    • Connect the equipment into an outlet on a circuit different from that to which the receiver is connected.
    • Consult the dealer or an experienced radio/TV technician for help.
  • This equipment has been tested and found to comply with the limits pursuant to the FCC and IC rules. These limits are designed to provide reasonable protection against harmful interference in an appropriate installation. This equipment generates, uses, and can radiate radio frequency energy and, if not used in accordance with instructions, can cause harmful radiation to radio communication. However, there is no guarantee that interference will not occur in a particular installation.
  • This device complies with FCC/ISED RF radiation exposure limits set forth for an uncontrolled environment. It shall be installed and operated with a minimum distance of 20 centimeters between the radiator and your body.
  • This device complies with Industry Canada’s license-exempt RSSs. Operation is subject to the following two conditions:
    • This device may not cause interference; and
    • This device must accept any interference, including interference that may cause undesired operation of the device.

Miscellaneous Terms and Conditions

  • My Sophi™ and the My Sophi™ Products and Services are owned and operated by My Sophi, LLC, a Georgia limited liability company.
  • At all times, the My Sophi™ Products, equipment, and intellectual property remains the property of My Sophi, LLC or its vendors as applicable. All My Sophi™ Products and equipment must be returned at the conclusion of the My Sophi™ Services.
  • In the event that any terms or provisions of this Agreement are deemed invalid or inoperative, all of the other terms shall remain in full force and effect.
  • It is specifically agreed that the Subscriber shall not be permitted to assign this Agreement without the prior written consent of My Sophi™, and any such assignment without such prior approval shall be deemed a breach of this Agreement. My Sophi™ shall have the right to assign this Agreement to any other company engaged in the business similar to that of the Company and upon such assignment shall be relieved of any obligations created therein.
  • The Subscriber/User acknowledges that My Sophi™ Services and Products do not provide medical advice or treatment and are not designed to, or guaranteed to prevent, any loss, ailment, or injury. My Sophi™ does not assume any liability and therefore shall not be liable to Subscriber/User for any loss or injury sustained by Subscriber/User as a result of any cause whatsoever, regardless of whether or not such loss or injury was caused by or contributed to by My Sophi’s™ negligent performance to any degree, product failure or malfunction, failure to perform any obligation or strict products liability. Subscriber/User releases My Sophi™, or any of its employees, managers, owners, associates, parent companies, or subsidiaries from and against any claims for contribution, indemnity, subrogation, or damages.
  • The Subscriber/User understands that My Sophi™ is not an insurer and does not offer any insurance coverage or insurance like product.
  • Subscriber/User agrees to indemnify, defend, waive jury trial and hold harmless My Sophi™, or any of its employees, managers, owners, associates, parent companies, or subsidiaries from and against all claims, demands, liabilities, damages, losses, expenses, including attorneys fees and lawsuits which may be asserted against or incurred by My Sophi™ by or due to any person(s) not a party to this Agreement, including Subscriber/User’s insurance or bonding company, for any expense, loss or damage including, but not limited to, statutory civil damages, personal injury, death and/or property damage, real or personal, arising out of the design, sale, lease, installation, repair, service, dispatch, maintenance, monitoring, recording of communications, operation or non-operation of the equipment, System or central station facilities, whether due to the sole, joint or several negligence (including gross negligence) of Company or its agents, servants, employees, suppliers, or subcontractors, breach of contract, express or implied, breach of warranty, express or implied, product or strict liability, and/or any claim for contribution or indemnification, whether in contract, tort or equity.
  • This Agreement and all matters arising out of or relating to this Agreement, will be governed by, and constructed in accordance with, the internal laws of the State of Georgia as applied to agreements entered into and performed entirely within the State of Georgia by residents thereof, without giving effort to any choice or conflict of law provision or rule. All actions commenced to enforce or interpret this Agreement will be brought in the federal and state courts in Richmond County, Georgia and each Party (My Sophi™ and Subscriber/User) irrevocably submits to the exclusive jurisdiction and venue of such courts in any such action. Neither Party may assert or be entitled to relief on a claim of forum non conveniens as to a court of competent jurisdiction located in Richmond County, Georgia.
  • The My Sophi™ Terms of Service may be modified periodically by My Sophi™. These changes will be posted on the My Sophi™ website. Subscriber/User’s continued use of the My Sophi™ Services shall constitute consent to any modified Terms of Service.
